What Happens After Signing an SPA in Johor? The 3+1 Completion Period

By Goh Qi Zhen (Advocate & Solicitor)•18 Sep 2026•6 min read
Key Summary: Signing the Sale and Purchase Agreement (SPA) is only the beginning. The transaction enters the "3+1" completion stage where stamp duty, loan redemption, land office consent, and balance funds are coordinated.

1. Adjudication and Stamping with LHDN

Within 14 days of SPA execution, the agreement is submitted for stamping via the Lembaga Hasil Dalam Negeri (LHDN) e-Duti portal. Simultaneously, the Memorandum of Transfer (Form 14A) is submitted for stamp duty adjudication by the valuation department (JPPH).

2. Obtaining State Authority Consent (If Applicable)

For leasehold titles, Malay Reserve land, or low-cost properties in Johor, an application for consent to transfer must be submitted to the Pejabat Tanah dan Galian (PTG) Johor. The 3-month completion clock only commences once the formal letter of consent is extracted.

3. Redemption from Vendor's Existing Financier

If the seller has an existing mortgage, the purchaser's bank will disburse a redemption sum directly to clear the seller's loan. Once cleared, the seller's bank executes a Discharge of Charge (Form 16N), freeing the original land title.

4. Balance Purchase Price & Handover of Vacant Possession

Upon successful registration of the Form 14A and bank charge at the Land Registry, the purchaser's bank releases the remaining balance purchase price (typically 90%) to the vendor's solicitors. Outgoings such as quit rent (cukai tanah) and assessment (cukai pintu) are apportioned, and keys to the property are handed over to the buyer.
